Job Responsibilities:

 

Legal Transformation:

 

  1. Assess Current State: Work with the GC to evaluate the current legal team's structure, processes, and technology to identify areas for improvement.

 

  1. Develop, Vision and Mission statement and Transformation Roadmap: Assist the GC to formulate  the vision and mission statement as well as a comprehensive roadmap for transforming the legal  and secretarial function, including recommendations for process improvements, technology adoption, and talent development.

 

  1. Implement Changes: Lead the implementation of the transformation roadmap, working closely with General Counsel and other stakeholders.

 

  1. Digitization and  Technology Implementation: Identify areas for Evaluate and implement legal technology solutions/tools to enhance efficiency, productivity, and collaboration. Lead digital initiatives for the legal team.

 

  1. Process Optimization:  Get guidance from GC & other senior leaders/ stakeholders to identify, develop and implement streamlined processes/SoPs for legal operations, including Contracts management, IP Portfolio management , Litigation management, and Compliance (upgrade and cover EBU) . Implementing and creating awareness amongst team and stakeholders for the processes.

 

  1. Training & Development:  Work with GC to Develop and implement training programs for team and other stakeholders to enhance the skills and expertise.

 

  1. Stakeholder Management: Collaborate with stakeholders across the organization to ensure alignment with GC and support for the transformation initiative.

 

  1. Change Management: Support GC to develop and implement change management strategies to ensure a smooth transition to the new legal team structure and processes.

 

  1. Standardization of templates: Reviewing and drafting templates as per business requirements. 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

Business Advisories and Contract reviews:

  1. Strategic Legal Advisory support in key /new projects:

 

    1. Advising & supporting on  legal implication of entering into a new Project
    2. M&A Support : Due diligence, transaction structuring, and integration planning.
    3. Joint Ventures/ Alliances: Structuring partnerships to align with business goals while protecting the company’s interests.

 

  1. Contract Management & Negotiation (Both Frontend and Back end)

 

    1. Commercial Agreements: Drafting reviewing and negotiating supplier, customer, licensing and service contracts.
    2. Standardization : Creating templates and playbooks for faster turnaround and risk control
    3. Risk Allocation: Advising on indemnities, warranties, and liability clauses to align with business risk appetite.

 

  1. Employment Law and supporting People Strategy including on CSR

 

    1. Advising on Policies for hiring, diversity, remote work, termination etc.
    2. Executive Contracts : Reviewing employment terms & incentives of Senior Executive, India or Overseas or Consultancy Contracts
    3. Workplace Investigations; Leading or advising on sensitive internal investigations
    4. CSR Support

 

  1. Data Privacy & Cybersecurity
    1. Data Governance : Advising on collection, processing, and transfer of personal data in line with GDPR, DPDP etc
    2. Incident Response Plans: Assisting with breach response, including regulatory notification
    3. Technology Contracts : Advising on SaaS, Cloud and data-sharing agreements, especially for EVs.

 

  1. Crisis & Change Management
    1. Business Continuity: Legal input into contingency planning and crisis management
    2. Internal investigations : Legal advise and support for  fast-moving investigations (eg: Fraud, compliance breaches)
    3. Change management : Legal guidance during internal restructuring, leadership changes or digital transformation.
